corporate commercial Paralegal

Robertson LLP is seeking an experienced Corporate Commercial Paralegal.

Responsibilities of this key role will include (but are not limited to): 

  • Provide paralegal work to the Corporate Commercial and Commercial Real Estate practice
  • Drafting and preparing documents, and composing annual work
  • Knowledge of a variety of corporate documents including societies and not for profit corporations
  • Assist Lawyers/Paralegals as required
  • Respond to daily inquiries from counsel and clients
  • Prepare corporate legal documents such as articles of incorporation, amendments, dissolutions, annual returns, notices, extra-provincial registrations, by-laws, share provisions, resolutions, share certificates, registrations and corporate records for Canadian and U.S. entities
  • Maintain and update minute books and corporate records for multiple Canadian and U.S. entities
  • Conduct minute book review to identify and correct deficiencies
  • Respond to daily inquiries from business units and handle day-to-day corporate matters
  • Implement and improve processes for the management of Corporate Services department
  • Independently draft various basic agreements under the supervision of our lawyers
  • Oversee and lead project to transfer all minute books onto the ALF electronic platform
  • Provide corporate support to accounting team in connection with external audits
  • Provide support to corporate lawyers and other support staff as required

Required Education, Skills and Qualifications

  • 3+ years of experience in corporate paralegal role in a law firm or in-house legal department
  • CORES Level 1 required, with a willingness to obtain CORES Level 2
  • Ability to draft basic legal documents, such as shareholder or director resolutions
  • Proficiency with Microsoft Office Suite
  • Experience leading a small team is an asset
  • Experience with ALF is considered an asset
